Infuzer - End User License Agreement


	END USER LICENSE AGREEMENT Please read the terms and conditions set out below (the "Terms"). If you are not willing to be bound by all of the Terms do not download/install the Infuzer software (the "Software"). If you are willing to be bound by all of the Terms below click on the main screen to indicate your acceptance of these terms. Downloading/installing the Software indicates that you have read and accept the conditions below. TERMS AND CONDITIONS The following Terms constitute a legally binding agreement between you and Infuzer.com, LLC. ("Infuzer", "we" or "us"). 1. Use 1.1 We grant you a non-exclusive, non-transferable license to use, store, load, install, execute and display one (1) copy of the Software for your own, personal, non- commercial purposes. You may only install and use the Software on one machine at a time and not on a network. 1.2 The Software is "in use" on a computer when it is resident in memory (i.e. RAM) or installed on the hard disk (executable and other files) or other storage device. 1.3 You may only copy the Software or any component of the Software for your own, personal, non commercial purposes and for the purposes of creating a back-up copy and then only in order to enable you to use the Software in accordance with this agreement. You may make one (1) archival copy of the Software. 1.4 You may not distribute, reproduce, resell, offer for sale, rent, lease, license, adapt or allow any other person to use the Software, its contents or any copy other than in accordance with these Terms. 1.5 You may not reverse-engineer or decompile the Software except to the extent that you are allowed to do so under English law in circumstances under which English law does not allow us to stop you from doing so. 1.6 You must comply at all times with the Terms and with any reasonable instructions that Infuzer gives to you in respect of the use of the Software. 1.7 When you use your free Infuzer software to subscribe to a paid service, Infuzer will ensure you are given full information about the nature of the service and the cost prior to your making payment. Due to the nature of services that use the Infuzer software, you acknowledge that refunds are not possible as the information is delivered to you immediately on payment. For all subscription services, Infuzer will ensure that you are only given instructions on how to pay for such services after successfully installing and using Infuzer to place one or more entries into your electronic calendar. Consequently, you acknowledge that you can only make payment after you have successfully used the Infuzer software. 1.8 Where you have subscribed to a service that makes use of the free Infuzer software, Infuzer will inform you prior to any relevant renewal period for any such subscription services to allow you to continue or terminate the subscription as you so wish. At that time, you will be given notice of the renewal subscription price. 2. Copyright and intellectual property rights 2.1 All copyright and other intellectual property rights in the Software are owned by Infuzer or its third party licensors. All copyright and other intellectual property rights are protected under United States of America law, other applicable copyright laws and international treaty provisions. The copyright holders retain all rights not expressly granted. 2.2 You agree that you will not reproduce, conceal, alter or remove any copyright, trade mark or other intellectual property right notices contained in the Software. 2.3 Nothing in this agreement shall be construed as a license to use any trade mark, trade name, design mark, logo, emblem or other distinctive mark (collectively the "Trade Marks"), whether registered or not, belonging to us or any third party licensors. 2.4 You acknowledge that you acquire no right, title or interest in or to any of the Trade Marks and you shall not represent that you have any ownership interests in the Trade Marks or dispute or contest for any reason the validity of the ownership of the Trade Marks. 3. Warranty and liability 3.1 APART FROM THE TERMS SET OUT IN THIS AGREEMENT, NO CONDITIONS, WARRANTIES OR OTHER TERMS APPLY TO THE SOFTWARE OR ITS SUPPLY OR LICENSE UNDER THIS AGREEMENT. IN PARTICULAR, NO IMPLIED CONDITIONS, WARRANTIES OR OTHER TERMS RELATING TO SATISFACTORY QUALITY OR FITNESS FOR ANY PARTICULAR PURPOSE WILL APPLY. ALSO, IT IS NOT A TERM OF THIS AGREEMENT THAT USE OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.12. IN NO EVENT WILL INFUZER BE LIABLE TO YOU FOR DAMAGES, INCLUDING ANY LOSS OF PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OR INABILITY TO USE THE SOFTWARE. 3.2 Your sole remedy and the total aggregate liability of Infuzer to you for any direct loss or damage suffered as a result of your use of the Software shall be limited to Infuzer supplying you with a replacement copy of the Software and re-instating any Infuzer subscriptions to which you were previously subscribed. 3.3 Infuzer makes no representations or warranties that information provided by the Infuzer service, whether free to the user or by subscription, is complete or accurate or timely. You acknowledge that certain information sent to you through the Infuzer service is provided by third parties and that Infuzer is making no representations or warranties as to the accuracy and completeness of such third party information. 4. Terms and termination 4.1 This agreement is effective from the earlier of the date you click "I agree" below, install or copy or use the Software and shall continue in full force and effect until terminated. 4.2 Infuzer may terminate this agreement at its sole discretion, at any time without notice. Any services to which you are subscribed, whether paid for or not, that use your free Infuzer software will also be terminated in this eventuality. You may terminate this agreement by destroying all copies of the Software in your possession. This agreement will terminate immediately should you fail to comply with any of the Terms (in which case you must destroy all copies of the Software in your possession). 5. General 5.1 If any of these terms is held to be unenforceable for any reason this shall not affect the validity or enforceability of any of the other terms or of the remainder of the Terms as a whole. 5.2 Governing Law and Jurisdiction. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Illinois, U.S.A.
